February 8th GLA Board Meeting and landowner revolt The meeting started with a Pledge of Allegiance to our flag and country. The President then proceeded with the lengthy agenda but was interrupted by the Secretary who reminded her that a moment of silence was to follow the Pledge. After the Moment of Silence the President, gavel in hand, told the audience that her Decorum policy was in effect. Copies were present and a few were landowners were reading them. The Decorum policy was instituted by edict at the January 11th GLA Board meeting; no Board members were asked to vote on it and many people see it as an illegal "gag order" meant to muzzle landowners and board members. The President loudly hammered her gavel on the table in an attempt to silence murmuring landowners who were stating that the policy violated our governing documents. The mood turned sour when it was apparent that few Board members wished to challenge the President's illegal "gag order". A landowner then courageously stood up and approached the director's table. He stood before President Charlotte Mizzi and explained that he was taking back his grandfather's gavel and that he "refused to allow her to use it a tool of tyranny". The audience burst into a long and robust applause.
Below is a brief commentary on the rest of the meeting until I left at 10 PM. The meeting continued for at least another hour after I left.
- During the landowner's comment period many people presented serious questions and arguments for positive change to the Board. They wanted to know more and offered helpful suggestions. One person asked why landowner comments were never included in the minutes. Another asked why specific complaints made to the Board in writing over a period of several months were never on on the agenda nor answered. Others wanted to know if landowner suggestions for changes in the governing documents would be discussed at the upcoming special meeting. Another pleaded with the President to stop with the "us vs. them" attitude and show a little humanity towards audience members. "Many are accomplished individuals and sincerely wished to assist" she stated. Another landowner demanded that the Board stop wasting money on seeking legal advice for every question that they could not or did not want to answer. He went on to say that he refuses to pay his assessments until the board stops wasting landowner's money and starts to employ "common sense". His act of civil disobedience struck a nerve amongst landowners who believe the GLA Board simply uses attorneys and our money to bully through whatever actions they see as fit for the community.
- Landowner's vociferously questioned why the GLA Board was using an Executive or Closed Session to discuss matters that concerned them yet did not include any pending legal action. They were curtly told by the President that the attorneys claim of "attorney client privilege" was the reason. That excuse served to substantiate allegations of the Board using so called legal advice as a reason for secrecy and stonewalling. It was seen as a way to once again exclude landowners from the discussion of important matters that had nothing to do with any pending litigation. A long board debate ensued and it was finally agreed that some topics would be discussed with landowners present. Landowner discontent was obvious and powerful. At one point Dan Kehoe mumbled something about "they are attacking us" to other Board members. Several members of the audience heard his comment and openly demanded "Who are THEY Dan"? The demand was repeated twice but Dan offered no answer and slouched silently in his chair.
- The Secretary's report followed and a clearly rattled secretary robotically read her notes.
- The Treasurer's report was next and took over an hour. The 2016 budget was finally approved after it was decided to finance the deficit on the backs of people who paid past due assessments in 2015. In my opinion the GLA Board is supposed to act in the best financial interests of the landowners; that is their fiduciary duty as outlined by law. By using past due assessment income to finance a budget deficit the GLA Board has now violated their fiduciary duties by agreeing that it is in the best interest of the Board to have a pool of penalty and interest income they can routinely draw from so they can avoid the difficulty of balancing a budget by cutting expenses.
- The 2016 budget now includes $7,200.00 for accounting fees which balloons the administrative budget to over $39,000.00. Why does it cost the landowners $39,000.00 to administer a budget of $142,076.00? 27 cents of every dollar now goes to administrative costs. The best non-profit corporations like the Red Cross charity keep administrative expenses to less than 5% of their budget. Doctors Without Borders keeps administrative expenses to less than 15 cents per dollar. UNICEF, The Oregon Food Bank and Save The Children all spend less than 10 cents on the dollar for administration.
- The Treasurer's duties have been drastically reduced with the hiring of a bookkeeper. None the less he commented on how heavy and time consuming his official responsibilities were when he asked the Board to approve of direct deposit payroll checks to lighten his load. His request was approved.
- A volunteer landowner was asked to give a report on her calling past due landowners. This is a distasteful Treasurer duty that was turned over to volunteers several years ago. She reported that the invoices and figures she had to work with were inaccurate and a mess. She went over the invoices and past due list with Regina. She noted that amounts were incorrect, addresses were often wrong and even names were incomplete. She suggested that the Board consider hiring an accountant to take care of all financial matters.
- The Treasurer commented on the last Finance meeting and chuckled that one landowner had "asked him to resign". Still he thought the meeting was successful and "a lot was accomplished". The Board meeting was then turned over to Dan Kehoe who is on the Legal Committee and recently discussed Collection efforts in private with an attorney paid for by landowner assessments. No minutes of the meeting were kept because it was not an "official Legal Committee meeting" according to Dan. Few, if any other directors were present so all the Board and audience had to go on was Dan's notes and interpretations of the meeting. No attorney letters or statements were presented to the Board or audience for consideration.
- Although Dan Kehoe frequently mumbled, often muttered incomplete sentences and erratically jumped from one thought to another it was possible for a careful listener to discern the gist of what he was saying. He believed that the current interest rate was too high for past due assessments and thought that it should be substantially reduced. The reduction should also be applied retroactively to all past due accounts. The only facts he offered to support his argument was that "the attorneys" thought it was a good idea. A Covenant change would be required and if approved by the membership would result in a substantial loss of past due assessments that would instantly give back over $150,000.00 to debtors.
- Feeling somewhat nauseous I rose from my chair and quietly left the meeting. The meeting continued for at least another hour. I urge all attendees to post their thoughts below.

Highlights of the Continuing Fiascos Known as GLA Monthly Board Meetings February 8, 2016
“Oh what a tangled web we weave, when first we practice to deceive!”
This is an unofficial account from an eyewitness in attendance for most of the meeting. Please wait for the official GLA minutes (Confidential – Do Not Copy) to come out and compare them to the forthcoming summary by the Glastonbury Landowners for Positive Change (GLFPC), also known and referred to by some board members as the “5% troublemakers.” The meeting began at about 7 pm when President Mizzi called the meeting to order with a Pledge of Allegiance and one minute of silence. Instead of following the agenda she overlooked the visiting landowner input period and jumped into her president’s report by calling for a volunteer landowner to be her sergeant-at-arms for this meeting. No one volunteered. I surmise that the reasons for this are that there are no guidelines regarding the duties of this position, and no reasonable landowner wants to support the president’s dictatorial and tyrannical style. This was punctuated when a landowner approached Mizzi and demanded that she return the gavel to him as its owner, having loaned it some time ago to a different board member who never bothered to return it, but passed it on to Mizzi. Landowners in attendance then brought it to the president’s attention that she had forgone the visiting landowners’ input period, and she then opened the floor to comments. Clearly many landowners who spoke were upset and angry about the way the board has been operating and ignoring formal complaints, letters and questions raised in recent months. Leading the list were the illegal “Meeting Decorum” policy which was unilaterally initiated by the president at the January monthly board meeting, the lack of attention or response from the board to complaints and questions, and the board’s apparent deceptive methods of stonewalling and constantly deferring to the attorney for nearly everything. One landowner referred to the attorney as the thirteenth unelected board member. Another major item of concern is the way that the revision of the governing documents is being handled, as led by former president and director Dan Kehoe. When the subject of changing the governing documents first came up many months ago many interested landowners joined the committee. Along the way, certain board members eventually took over the function and, excluding the landowners involved, used the GLA attorney to help them draft proposed changes favorable to their interests. The board tried to get these changes on the ballot for the annual meeting in November but the timing of proper notice fortunately prevented a rush vote from taking place. Some astute landowners, who have studied the governing documents extensively, wanted the opportunity to collaborate with the board committee and propose changes to the documents that would be in the landowners’ best interests. The board has stonewalled all attempts. Last night in this very meeting Kehoe confirmed that there will be no opportunity for landowner input, that the only changes under consideration will be those proposed by the board in their October mailing. It is now clear that the board, led by Kehoe, is proposing changes to the documents that will solidify the board’s power by giving them absolute discretion in nearly all matters, which will diminish if not devastate landowner rights. There are two special meetings scheduled for landowners to question these proposed changes, the first one at Emigrant Hall on February 20 at 10 am, and the second one a phone conference call on March 19 at 10am. The board intends to schedule another special meeting to vote on these proposals sometime thereafter. I urge all landowners to look very carefully at this Trojan horse and to vote against the proposal as it now stands. In the Secretary’s Report, Charlene Murphy explained that only recently have committees been keeping and publishing minutes and that previously the committee chairs just made their reports at board meetings and those remarks were included in the official board minutes. Seems to me that under the old method there was much room for incomplete or inaccurate reporting, which keeps true facts from the landowners. Would the board have changed to a more transparent system of reporting without pressure from the 5%? Also in the Secretary’s report was a motion to purchase a recording device from former director Brunson who recently resigned. The device has been used to record board meetings in the past and is considered to be excellent equipment for this purpose. The board voted to purchase it. Also disclosed, but not for the first time, is the fact that these recordings of board meetings are deleted soon after the official meeting minutes are compiled from them. It was stated that they are not transcribed, meaning that not every word is written or included in the minutes. I believe that, especially in the past, these recordings are deleted so that no landowner has access to them nor can they compare the official minutes to the recordings if they suspect foul play. How convenient. In the interest of full transparency, which the board has never practiced before, it would be desirable for the board to keep these recordings available for six months in the event the official meetings are challenged. When there is an attempt by any organization to hide information by deleting it, suspicion is rampant. The Treasurer’s report included the 2016 draft budget and the end-of-the-year financial reports to be mailed to the members on February 12. Parker said these had been approved by Regina Wunsch which gave them credibility, based on the number of prior errors and omissions made by the Treasurer since taking office last summer. After discussion, the board voted to approve the reports. CORRECTION: Upon reading the above paragraph after it was published, Regina Wunsch informed this reporter that she had not received final copies of the financial reports from the Treasurer and therefore could not have approved them. Seems we have been told another untruth by an officer of the board.The Finance Committee report included two committee meetings reports for January 20 and 27. They did not mention the omissions of data in the official meeting minutes for the 27th, which were subsequently corrected by Wunsch. Landowner D. DeGraaf, who is volunteering to assist with past due assessment collections, and who along with Wunsch, was instrumental in recommending that the board contract with a professional accountant to maintain the books, strongly recommended that the newly hired accountant be in charge of all accounting functions with the Treasurer being the liaison between the board and the accountant in order to eliminate the flood of continuing errors by treasurers who are not equipped adequately for the job. Also mentioned was the suggestion made months ago by Wunsch and CPA Story that the association should research ways to simplify their bookkeeping. The Project Review Committee report included their goals for 2016 to implement a new fee structure and checklists, to improve the project review instructions and requirements for landowners, to streamline the administrative processes but require 30 days for the process to insure that all details are covered so that future projects will be as mistake-free as possible, unlike recent projects hastily approved by the board. The Road and Weed Management Committee report announced their next meeting for Feb. 11 where goals for a five-year road maintenance plan will be discussed. The Communications & Technology Committee report included a report by Vice President Dennis Riley on how the board will be responding to landowner complaints and inquiries in a timely manner going into the future. Riley also went on to discuss the need for landowner meetings where landowners are free to discuss their concerns to board members. Director Gerald Dubiel suggested that board members make their phone numbers available to landowners so issues can be dealt with directly and expediently. This came as a surprise to the audience, as well as to board members it seemed, as the previous Communications Committee policy was “the Communications Committee is the soul entity authorized to communicate with landowners.” Thank you, Dennis and Gerald. The Community Property Committee report included discussion of the “soccer field” property. Landowners were particularly concerned about the fact that 179 acres of church property surrounds the 20 acre landowner-owned soccer field property. The 179 acres are not part of Glastonbury and do not fall under the purview of the governing documents. Therefore, they could be developed by the church in any way they see fit, or could be sold and new owners would be free to develop the property any way they see fit. Mizzi, chair of the Community Property Committee, claimed at the very first meeting last summer that the church has plans for phase two of Golden Age Village, which includes 20 new dwellings, and further to someday build a cathedral below the Mother Mary statue. There had been a Closed Session of the board scheduled at the end of the meeting but many landowners have questioned the legality of such meetings. Dan Kehoe expressed the need for attorney-client privilege as the reason for these closed sessions but landowners protested that this would only apply when discussing lawsuits that the board is involved in. Landowners asked Kehoe if the attorney represents the association (the landowners) or the board. Kehoe replied that the attorney represents the board, not the landowners. He also said that in the upcoming governing document meetings that landowners will be able to ask the attorney any question they like, not just those pertaining to proposed document changes. The board determined that landowners could be present during the Closed Sessions so long as the items discussed did not include current lawsuit subjects, a first and slight victory for landowners in this regard. It was also noted by landowners that there have never been minutes kept or reports made to landowners of the proceeding of these closed sessions, again pointing out the secrecy and lack of transparency practiced by GLA boards. The meeting adjourned at about 11pm.

GLFPC Meeting Summary of the August 8th, 2016 GLA Board Meeting Now Available Key Points Include:
- An in-person, face-to-face board meeting will happen on the evening of September 12, 2016 at 7 p.m. in Emigrant Hall. Since last May 2016, GLA Board meetings have been conducted by telephone.
- Though landowners have been blamed for the decision to hold community business meetings via conference calls, the truth is that President Charlotte Mizzi had summoned law enforcement to St. John’s Church last April, resulting in GLA Board meetings being banned from the premises, according to Secretary Charlene Murphy.
- Treasurer Rudy Parker could not account for a $73,000 discrepancy in the July 2016 Financial Report.
- As uncovered by landowners, erroneous voter information was recently mailed to property owners in the voting packet to change Covenant 11.06, which involves the retroactive interest rate reduction. Notwithstanding, the board chose not to correct their mistakes, and proceed with the vote.
- Landowners had also notified the board that their practice of handling both absentee and proxy ballots has not been strictly confidential, potentially influencing the outcome.
- The board agreed to seek legal counsel about two matters: their practice of granting assessment discounts to members who claim financial hardship, and freezing penalties and interest on certain delinquent accounts.
- The board failed to adequately address feedback from some High South Glastonbury landowners, who communicated that they were shorted by at least 27 loads of gravel during the spring roadwork.

GLFPC Meeting Summary of the August 27th, 2016 GLA Board Special Meeting Now Available Key Points Include:
- By a significant margin, landowners rejected the board-initiated and board-supported retroactive interest reduction on delinquent accounts.
- The remaining two and half month term of Ombudsman for North Glastonbury (NG) was filled by John Carp. Despite the fact that he does not own property in Glastonbury, Carp was designated as an owner/agent for the North Glastonbury Teaching Center.
- Shortly after the meeting began, GLA President Charlotte Mizzi engaged in argumentation with a landowner who took issue with not being treated fairly.

GLFPC Meeting Summary of the September 12th, 2016 GLA Board Meeting Now Available Key Points Include:
- President Charlotte Mizzi announced that the newly instituted ban on photography at GLA meetings would continue. She made the pronouncement without board discussion, and in spite of member input calling the ban illegal.
- Parker's reinstatement of assessment discounts, after they were quietly discontinued in 2014, remains a controversial issue for the board.
- The board spent nearly 1½ hours trying to resolve a Project Review application that should have been immediately sent back to committee.
- On numerous occasions, Mizzi did not stop board members and landowners from interrupting and talking over each other.
- The board was asked to deal with the fact, that the election of non-landowner John Carp as NG Ombudsman did not follow the Governing Documents.
- The board is over budget on roads, administration, office expenses and accounting.
- Applause to board member Kevin Newby for negotiating with Park County to get Dry Creek sealcoated. His actions saved the landowners considerable money.

GLFPC Meeting Summary of the November 4th, 2016 GLA Board Meeting Now Available Key Points Include:
- In the absence of President Mizzi, and contrary to her questionably legal Meeting Decorum Policy, landowners were allowed to speak after board discussions and prior to board actions during this final monthly board meeting of the current board.
- Action to lower the interest rate on past due assessments was put on hold until the new board is seated in December.
- Action, per email vote, to adopt a draft Collection Policy and Procedure is expected as soon as possible after the November 10, 2016 deadline for landowner comments. Unlike the above, it will not be put in the hands of the new board.
- GLA assessment discounts will end January 1, 2017.
- The question of who is responsible for nearly $20,000 in delinquent assessments on two CUT owned NG parcels is being sent to the board's attorney.
- Treasurer Rudy Parker admitted to acting alone and canceling a 2nd dwelling assessment for a SG member.

GLFPC Meeting Summary of the December 5th, 2016 GLA Board Meeting Now Available Key Points Include:
- The majority of the board is facing a new lawsuit.
- The first hour was spent with “the board’s attorney,” Alanah Griffith, who was in attendance at this board meeting, to field questions about the election fiasco.
- Leo Keeler was “appointed” to the board after directors sorted through election anomalies – he brings strong legal experience.
- Applause followed the election of Dennis Riley as the new GLA President, replacing now past president, Charlotte Mizzi.
- GLA signed a two-year contract for snow removal and sanding services with Fred Counts.
- The question of how to deal with board member Ed Dobrowski, who appears to have violated GLA regulations on several occasions, will be on the agenda for the January board meeting.
