Bylaw Change vs Covenant Change - Votes Required
To change the Covenants requires a 51% YES vote of ALL landowners in "good standing" per Covenant 2.05. People who do not vote are essentially voting NO. Eg; If 400 landowners are eligible to vote then 201 will have to vote YES for a covenant change to be approved.
Changing the Bylaws is much easier. First a quorum (Bylaw Article V-E) or 25% of all members in good standing must participate in the Bylaw Change vote. If 400 landowners are eligible to vote then just 100 (25%) constitutes a quorum. For the Bylaw change to pass 51% must vote yes once a quorum is reached (Bylaw Article V F-4). Thus a Bylaw can be changed with as few as 51 landowners voting YES. A Covenant can only be changed if 201 landowners vote YES.
Notes: A landowner must be in "good standing" (Covenant 3.19) to be eligible to vote. "Good Standing" is defined as that person not being in violation of any Covenants and being current with their assessments. In practice the GLA Board only considers past due assessments in determining "good standing". Landowners who are past due still receive voting packets and ballots.
Votes are delegated one to a parcel. If a person or entity owns more than one parcel they are allowed a vote for every parcel. Church Universal and Triumphant owns the greatest number of parcels and they get to cast the largest number of votes. Golden Age Village(GAV) is the exception. They are part of Glastonbury, pay 49 dwelling assessments and one land assessment but only receive one vote.
The Forum used 400 landowners as an example only. We have about 395 parcels in Glastonbury. One vote per parcel yields 395 votes. Currently about 29% of the parcels have unpaid assessments. 29% of 395 parcels is 115 parcels. 395 minus 115 equals 280. Thus only 280 votes are qualified and possible. Therefore a Covenant change would require 141 YES votes which is 51% of 280.
A Bylaw change could pass with as few as 36 YES votes. Why? 25% of 280 qualified votes is 70. So 70 votes are needed for a quorum. Once a quorum is met then a simple majority is needed for the bylaw change to pass. 51% of 70 is 36. So just 36 YES votes are required for a bylaw change to pass.
