Proposed Changes to GLA Bylaws and Covenants - October 22, 2015
The GLA Board is proposing to make changes to our Covenants, Master Plan and Bylaws in 2016. Recently they mailed a cover letter along with detailed changes. You may download all three documents in a PDF format by clicking on the links below. Many in our community believe that the changes are sweeping and would give the GLA Board unprecedented powers. Please study them carefully and feel free to voice your concerns and questions.
To change the Covenants requires a 51% YES vote of ALL landowners per Covenant 2.05. People who do not vote are essentially voting NO. Eg; If 400 landowners are eligible to vote then 201 will have to vote Yes for a covenant change to be approved.
Changing the Bylaws is much easier. First a quorum (Bylaw Article V-E) or 25% of all members in good standing must participate in the Bylaw Change vote. If 400 landowners are eligible to vote then 100 constitutes a quorum. For the Bylaw change to pass 51% must vote yes (Bylaw Article V F-4). Thus a Bylaw can be changed with as few as 51 landowners voting YES. A Covenant can only be changed if 201 landowners vote Yes.
Note: A landowner must be in good standing (Covenant 3.19) to be eligible to vote. The Forum used 400 as an example only. The actual number of landowners able to vote changes yearly. A good guess as of May 2016 would be around 300 votes are possible. Thus a Covenant change would require approximately 150 yes votes. A Bylaw change could pass with as few as 38 votes.

In another forum, I have been posting each of the Board's proposed changes as individual thread to be commented on. I hope to be able to present all the comments to all Members of GLA before a vote is called. I'm willing to develop individual threads on this site if viewers want to comment on them individually.

I think it would be good to develop individual threads here as you have done on the GLA Members Forum, Leo. The proposed changes to the Governing Documents are clearly designed to give the GLA board more power at the expense of the landowner members. With his background and understanding, Leo is the most qualified landowner to explain these sometimes complicated legal issues where just one word, or its interpretation, can make a huge impact on landowner rights. I urge all landowners to frequent this series of postings on this or the other forum and become educated BEFORE you are asked to vote on these issues in the coming months. Thank you Leo for your time and commitment to protecting landowners' interests!
