The Board sent all members the following recommended change. New text is in BOLD, deleted text is in strikethrough .
GovDocCmte notes: The addition of “Special” to define the meeting referred to in this sentence is to give clarification. Any meeting that is not a regular board meeting, by its nature, is a special meeting.
Article VI Section F. Directors’ Meetings. All business of the Board other than confidential matters (in the discretion of the Board) shall be conducted in an open meeting. Special Meetings of the Board may be called at any time by the President or a quorum of Directors and may be held at any time and place upon the giving of reasonable notice.

Including special meetings here in itself may be OK, but stopping the text at “reasonable notice” eliminates the last half of this section. The critical element in the last half of the section is the ability for Directors to participate by "Any or all directors may participate in a meeting by or conduct the meeting through the use of any means of communication bay which all Directors participating by simultaneously hear each other during the meeting."
Is this an error or an intent to shorten the Covenant and eliminate the ability of a director to participate by speaker phone or other electronic means. If passed as written, it would make it so that only Landowners living near Emigrant could run for the Board.
There has been a loud call for the Board to hold meetings with the specific intent to have members talk freely and establish agenda items for the Board to work on. I suggest the following changes. My additions in Blue.
Article VI Section F. Directors’ Meetings. There shall be a monthly Directors meeting and a By-Monthly meeting of Directors with Landowners unless cancelled by a vote of the Directors. All business of the Board other than confidential matters as described in a Closed Meeting Policy/rule approved by Membership vote (in the discretion of the Board) shall be conducted in an open meeting following state law pertaining to governmental bodies. Special Meetings of the Board may be called at any by the President or a quorum of Directors and may be held at any time and place upon the giving of reasonable notice to the Directors and Members. Any or all directors may participate in a meeting by or conduct the meeting through the use of any means of communication by which all Directors participating may simultaneously hear each other during the meeting. A director participating in a meeting by this means is considered to be present in person at the meeting.
