Errors In Gov. Doc. Change Meeting Minutes

To: the Board of Directors; Glastonbury Landowners For Positive Change
During the May 23rd Governing Documents Change Review meeting of pros and cons, I was the most vocal contributor. I offered my opinions and recommendations both as a Committee member and Landowner. Dan Kehoe took notes of my presentations, and I provided him a DVD with 90% of my comments coordinated with each proposed change. The other 10% were generated from other Landowner comments and minor corrections to what I had written in the DVD.
Yesterday, I was greatly surprised to get the final meeting minutes for the Governing Documents Committee meeting of May 23rd. My surprise was increased by the fact that, as a Governing Documents Committee member who attended the meeting, I had not seen any drafts, nor was I given the opportunity to clarify, comment on, verify, or approve the accuracy of the meeting minutes. In short, the Governing Document minutes went out without input from all Committee members.
In contrast, the meeting minutes I prepared for the Project Review Committee were scrutinized heavily by the Secretary as “keeper of the minutes” before they were sending out to Landowners. This is a major flaw, and is evidence of an obvious bias, in the Minutes Review Process.
As soon as I began reading the minutes last night, I saw major errors, discrepancies, leading statements, and, I believe, intentional omissions. The discussion on Covenant 11.06 centered on informing Landowners of the interest that will be lost as the interest rate is reduced. Dan presented his calculations of $12,500 being lost changing from 18% to 15% and $25,000 being lost changing to 12%, calculated by a formula he refuses to disclose. Those numbers were for only about 30 past due accounts, out of around 70. Over $268,000, calculated at 18% simple interest instead of the Covenant required 1.5% compounded monthly, was reported due in January,(Note: the change from 1.5% compounded should have been legally changed by Member vote in 2004 instead of simply using 18% simple interest) the Glastonbury Community Forum shows hundreds of thousands of dollars being lost, the spoken but undocumented application retroactively is illegal, Dan Kehoe working alone on the Governing Document changes since June 2015 and was recorded as saying he doesn’t care if Landowners do not trust him. These problems and concerns create significant questions for fulfilling fiduciary responsibilities by Dan and if the Board votes to send only these Cons to Landowners, the entire Board is at risk for fiduciary irresponsibility.
During the meeting, everyone was told the Board would vote on the Pros and Cons to be sent to Landowners at the June 13th Board meeting. It is know that significant efforts are being made to solicit non-resident votes during the Freedom Conference in June-July. A Minister having giving a sermon about keeping GLA a Church Universal Triumphant Community. The Members meeting and vote on changes to the Governing Documents is already scheduled for August 6th. These may be some of the reasons these minutes are not accurate and that they provide no good information of what may be sent to Landowners.
I am unsure if the sending of these minutes out as final only days before the June 13 Board meeting is an intentional strategic move to help control the vote, or a simple error. If an error, poor timing on the part of the author, should not create a crisis and rush for everyone else. I hope that the Board will not use these minutes as a basis to decide what is sent to all Landowners in the voting package.
To help correct the problems I found, I converted the PDF file provided into word and then typed in my corrections and recommendations, which are all highlighted in yellow. There may still be some line breaks from the conversion process, but I hope that the attached will assist the author in making the minutes more accurate, complete, and enable the entire Board to vote on what goes out during the July Board meeting.
If I missed the fact that the Board voted to remove me from the Governing Documents Committee meeting, or if I was not included in reviewing the minutes for some other reason, I would greatly appreciate being officially informed of the facts.
